JAMES G. TAGGART CTP

James G. (“Jim”) Taggart has successfully completed more than $3 billion of turnaround and crisis management assignments. Through these assignments, he has experience assisting all types of small to medium capitalization under-performing companies. His 25 years of experience includes senior level positions in interim and operations management, financial advisory, M&A, capital raising (subordinated and senior debt), bankruptcy, investing and insolvency. He has been solely focused in the turnaround advisory business since the mid- 1990’s.

In 2008 and 2009, Jim has assisted companies in the aviation, real estate, building services, restaurants, art, retail, energy, beverage, franchising, furniture, and philatelic and numismatic business sectors. In the 1980’s, Jim worked as an investment banker on Wall Street specializing in M&A and corporate finance. Besides consulting services, he owns an assorted portfolio of retail, real estate, restaurant and franchise businesses, which have more than 100 employees.

Jim grew up on a 160,000 acre ranch in Cody, Wyoming and earned a B.S. degree in Accounting and Finance from Brigham Young University and an M.S. degree in Applied Economics from Cornell University. He lived two years in Chile where Spanish was the daily language. He is also a graduate of Stanford University’s Executive Program. Jim is a member of the Turnaround Management Association, where he is a board member of the Colorado and Utah Chapters, the American Bankruptcy Institute and holds the Certified Turnaround Professional designation.

CHARLES S. WEISS

Charles S. (“Chad”) Weiss has more than 25 years experience assisting all sizes of companies meet their unique financial and operational needs. As an advisor to companies that range in size from less than $15 million to more than $50 billion he has achieved positive solutions for all types of financial and business needs. His transactional experience ranges from small private equity and debt placements, to multi-billion dollar mergers and acquisitions. His advisory experience includes troubled companies across a wide range of industries. His mergers and acquisitions credentials include both friendly and hostile takeovers, and he has extensive experience advising companies in matters ranging from strategic/financial planning to turnarounds and corporate governance. His merger and acquisition credentials include more than 100 transactions which have ranged in size from less than $15mm to more than $25 billion.

As an investor, Chad is a co-founder of JOG Capital, a successful $300 million private equity concern that invests in start-up energy companies in the Canadian market. He currently serves on the boards of two public entities, and is the chairman of the audit committee, and lead director, for Breitburn Energy Partners.

Previously, as the head of the Energy and Power business for the Royal Bank of Canada and before that in the same position for Bank of America, Chad led teams of almost 60 professionals. For both entities, the annual revenues exceeded $250mm per year, and lending commitments totalled more than $25 billion.

Throughout his career, he has developed creative financial solutions and created structured financings, to meet the unique problems/needs of his clientele. Chad is a member of the Turnaround Management Association. He recieved a BA in Physics from Vanderbilt University and earned his MBA, specializing in Finance, from The University of Chicago Graduate

MILES R. STOVER CTP

Miles Stover has held significant senior level positions in industry, and has served as the senior executive in many turnaround situations. For several years he was the head of restructuring for one of the largest national turnaround firms. Miles has been actively engaged in more than $4 billion of turnaround and restructuring opportunities, on both the creditor and debtor side. Miles enjoys, and has worked successfully with numerous organizations in an advisory role, including receiverships and trustee positions. Mr. Stover holds many industry credentials including; Certified Turnaround Professional, Certified Insolvency and Restructuring Advisor, Certified Management Consultant, Certified Fraud Examiner, Certified Professional Consultant to Management and Certified Confidentiality Officer.

Miles has provided on-site leadership for under-performing organizations, raised more than $1 billion of various types of debt and equity capital, and managed more than 15 cases under the jurisdiction of the US Bankruptcy Court. His experience includes leading contract negotiations with unions, as well as restructuring assignments involving financial institutions and government agencies. He has been responsible for the development and execution of operational and exit strategies, turnaround strategies and asset liquidations totaling more than $100 million. 100% of organizations that filed for protection under the Bankruptcy Code emerged successfully, or were sold according to plan.

Miles earned a Bachelor of Science in Accounting from the University of Southern California School of Business. He also has his Masters of Business Administration from the Pepperdine University and a Doctor of Philosophy in Business Administration, from Kennedy Western University.

BRIAN ROBERTSON

Brian Robertson has closed banks, opened banks, merged banks, purchased banks, sold banks, opened branches, sold branches and invested in banks. In addition to consulting with all sizes of banks, savings and loans, and credit unions, he has consulted with many businesses including farms, ranches, and manufacturing companies. Mr. Robertson has worked with and/or contracted for governmental agencies including the OCC, FDIC, Federal Reserve, Federal Home Loan Bank, SBA, FSA, OTC, and NCUA.

Brian began his banking career in 1977, as a bank examiner for the Office of the Comptroller of the Currency (OCC), United States Treasury Department, working predominately in the Western United States. He was commissioned as a National Bank Examiner in 1981, and served as examiner-in-charge of the Billings, Montana, sub-regional office in 1983, and the Casper, Wyoming, sub-regional offi ce in 1984. As an outside consultant, he assisted dozens of problem and failing financial institutions throughout Montana, Wyoming, Idaho, California and Texas. In early 1992, Brian transitioned into the banking system as a credit and turnaround expert for three financial institutions. Later, he served as a Vice President in the special asset management department for a large regional bank. Since 2006, Brian has provided consulting and credit services to fi nancial and banking institutions and helped divest and buy large portfolios and institutions as well as work on problem loans.

Brian holds a bachelors of science from the University of Montana.
